Small businesses can make use of a variety of our services. To estimate the cost of our legal and accounting services please use the on-line calculator. Here are the most common services for the small business:
1. State registration of natural persons - private entrepreneurs and legal entities with subsequent comprehensive accounting, legal, and tax accounting services on client’s wish. This includes :
executing of constituent documents (limited liability company, private enterprise etc.) and amendments to constituent documents. Advising on correctness of constituent documents if arranged by the client without our assistance;
advising on choice of organisational and legal form of an enterprise; drawing up or assistance in drawing up of registration cards, statement of any kind including applications for a legal entity name to be reserved;
assistance in receiving of executed registration documents (including certificates of state registration) at state registration bodies;
assistance in executing of duplicates of registration and constituent documents as well as execution of new standard registration documents.
2. Representation services at tax authorities::
assistance in registration of VAT, fixed tax and single tax payers, obtaining of trade licences, licences for alcoholic beverage and/or tobacco goods retail trade, registration of cash registers and cash registration books;
representation services at offices of statistics: assistance in obtaining of Certificates of registration in the Common State Register of Enterprises and Organizations, and other statistical certificates;
representation services at pension insurance offices: assistance in obtaining of certificates necessary to open a bank account;
representation services at social security offices: unemployment insurance, temporary disability insurance, accidents insurance.
3. Preparation of necessary documentation and assistance in obtaining patents and licences for particular activities.
4. Assistance in obtaining permission for a seal/stamp to be made and used (standard seal/stamp, pocket seal/stamp, and/or automatic seal/stamp).
5. Preparation of documents necessary for a bank account to be opened. Assistance in opening of bank accounts.
6. Assistance in obtaining permissions from the Economy Departments, Executive Committee of City Council for trade and services units/offices/shops to be installed/placed.
7. Drawing up of employment contracts between an employee and a natural person – entrepreneur. Representation at state employment authorities and obtaining of official permissions for employment of international individuals.
8. Registration (accreditation) with offices of State Customs Service of Ukraine.
9. Representation at tax service offices:
Tax planning of business projects and business plans.
Current consulting on taxation systems, tax planning, optimization of tax payment including payments through Internet.
Development of optimal tax policy of enterprises and tax modelling of results of individual agreements and business on the whole. Minimization of tax risks.
Determination of course of actions of an business entity management and employees in case of attempt of controlling (law enforcement) authorities to carry out an inspection or in case of their demand for documents.
Assistance and legal advising in case of scheduled and unscheduled inspections of the business activity by tax authorities.
Lodging of appeals at administrative courts and appeals against actions (inaction) of tax officers.
Invalidation of tax bodies’ resolutions and directions through administrative courts.
Supervising of court decisions in favour of the business entity to be implemented and executed by the State Executive Service.
10. Drawing up legal documents, including claims, appeals, complaints, contracts rtc.
11. Representation with power of attorney, defending the rights and lawful interests in general jurisdiction courts, business trials, other government bodies and offices in administrative, business, civil matters.
12. Remote office services.
Arbitration tribunal can be made use of in such cases as:
Execution of contractual obligations, settling of contractual debts.
Establishing of property rights to immovable property (residential and non-residential buildings), movable property (including motor vehicles).
Acknowledgement of validity of civil contracts/agreements (sales contracts, deeds of gift, supply contracts, lease/ rent agreements etc).
Disputes between co-owners over shared property etc.
13. Outstaffing – employment of your temporary unengaged personnel.
This service has been offered since 29 October 2008. Outstaffing is a personnel management instrument. If you are in business, it lets you regulate number of your personnel through engagement of your employees with our company. This service allows you, as a legal entity or private entrepreneur, to employ through our company your experienced and tested personnel or personnel not officially registered or those who cannot be officially registered with your company because of different reasons.
Outstaffing is quite beneficial.
All duties and responsibilities connected with the employment procedure are delegated to us (personnel’s employment, transfer, discharge; employment records, orders, and office work).
Thus you enjoy the possibility to use the skilled and qualified staff for particular projects without having them to be employed either full-time or part-time. The risks of part time employment are assumed by us.
You get an economic benefit from not having to pay some taxes. You are hereby not restricted by provisions on employment of the disabled.
Your company’s or your personal administrative and accounting functions are reduced, in particular bookkeeping.
You reduce your expenses as you do not have to employ additional accountants, clerks, buy excessive software, office hardware, and stationery, arrange working space.
It is the guaranty that all employment law provisions, tax and financial law will be observed. In some cases the number of employees is limited (for instance, a private entrepreneur – single tax payer cannot employ more than 10 people). At the same time it is required that all people engaged for a certain project be officially employed.
Outstaffing services include:
- concluding of an employment contract with the employee and putting them on staff of our outstaffing company – it can be either an individual or a group of employees;
- arranging of personnel paper work as required by the Ukrainian current law;
- opening of individual bank account for each employee;
- paying of salaries, wages, taxes, compulsory payments and other deductions from the employee’s pay. Paying of aids on temporary disablement, making payments in lieu of vacation, other compensating and motivating pays.
Short description of how the service works:
- we sign a contract with you (your company) to engage the personnel for a certain period;
- make official arrangements between our company and the employees;
- we pay monthly to every employee, including all bonuses and extra payments defined by your company;
- we submit you a report on the work done and an invoice to make advanced payment (including wages fund and fee);
- we register the beginning and finishing of labour relations according to the current Ukrainian law regulations.
The cost of outstaffing:
- compensation form the employee’s salary, taxes;
- provider’s fee (approximately 30% (excluding VAT) of minimal salary stipulated by law, or percentage from the employee’s salary, or a fixed amount) agreed upon between the parties which depends on number of employees and the requirements they must meet.
Settling of extremely difficult cases in highest (cassation) courts.
